This User Agreement, including any documents it expressly incorporates by reference (together, the “Terms” or “Agreement”) is made and entered into between you and idOS Association, with business address at Baarerstrasse, 43, 6300 Zug, Switzerland (referred to as “idOS Association”, “we”, and “us”) and establishes the terms and conditions that apply and govern your use of the idOS network (“idOS Network”) and all related software, programs, websites, and applications (“idOS”). These terms are legally binding, thus, we ask that you read them very carefully.
These Terms do not alter or control in any way other written terms or conditions or other agreements you have agreed to with us. Additionally, if you are representing a legal entity (such as a business), by using idOS, you are warranting that you have the authority to bind that entity to these terms. You must also have the legal capacity to agree to these legal terms and conform to the eligibility requirements found below to agree to these terms and use idOS.
By clicking “I agree” or otherwise using idOS, you agree to be bound by these Terms and any other terms referenced by these Terms. This User Agreement sets out the rules governing (a) your use of the idOS (including its websites, the idOS Network, the App, and all related software, applications, and programs) and (b) the transmission, uploading, storage, and processing of information by you or by any other person when using the idOS.
The idOS Network is made up of two key elements: (i) a dStorage Network of Nodes (“dStorage Network of Nodes”), composed of Node Operators, which may include idOS Association (“Node Operators”), that operate the dStorage Network of Nodes which governs access and administration rights, provide an endpoint that allows all stakeholders to communicate with the idOS Network, enforce access rights and block unauthorized access while hosting information (“Stored Information”) that is user-encrypted, that may also be issued into idOS Network by idOS Users, also called Data Owners (“Users” or “Data Owners”) or, for example, as Verifiable Credentials that may or may not contain public notes (“Credential”) by a Data Issuer (“Data Issuer”) who cryptographically sign claims towards a User, while the dataset state is harmonized by a consensus mechanism (“Consensus Mechanism”); and (ii) an Access Management Protocol (“Access Management Protocol”), allowing Data Owners to manage their stored information and grant/revoke access to such stored information to Data Consumers (“Data Consumers”), while such access may be set for a predetermined period of time under an optional feature called time-locks (“Time-locks”). Additionally, idOS provides an SDK for Data Issuers and Data Consumers to integrate with the idOS Network (“SDK”), a Dashboard (“Dashboard”), where Data Issuers, and Data Consumers can access and manage Access Grants (“Access Grants”) and Write Grants (“Write Grants”), as well as any other content, functionality, and services available or accessible through the Dashboard from time to time, and an idOS App (“App”), where Users can manage their Credentials, Access Grants, Write Grants, as well as any other content, functionality, and services available or accessible through the App from time to time. An idOS Isle (“Isle”), a fully managed, embeddable user interface (UI) designed to provide interactions within third-party applications, and an idOS Enclave (“Enclave”) are also made available. idOS may also provide functionality (for example, within the App) for user identification and authentication through the idOS FaceSign (“idOS FaceSign”) feature.
We partner with third parties - “Partners” - to offer you a variety of “Deals”. You instruct us to find Deals for you and send you communications notifying you of the Deals we sourced and providing you with the information you need to participate.
idOS Network
Within the idOS Network, authentication is performed through a cryptographic wallet signature, while authorization, as all queries must be authorized, works by verifying the corresponding wallet signature and recovering the associated address, which is then injected into structured queries so that only legitimate stakeholders can interact with the idOS Network. Users can add one or multiple wallet addresses to control their idOS profile across multiple blockchain ecosystems, and are required to define a primary wallet address. The idOS Network also supports key derivation from User passwords so that when Users set up their idOS profile, they can derive encryption keys through a key derivation function (KDF). idOS Network also offers, through integration with third parties, the possibility to abstract the encryption key using Multi-Party Computation (MPC) capabilities. Node Operators host Stored Information while Data Owners can add, review, grant access to (through an Access Grant), and revoke access to their Stored Information (in the absence of a still valid and existing Time-lock) to interact with Data Consumers as well as grant (through a Write Grant) Data Issuers’ ability to issue information into their idOS profiles.
In the case of a Write Grant, a “signed” token is transferred from the User to the respective Data Issuer, giving such Data Issuer the ability to issue one Credential payload at a time to the Data Owner’s profile that is revocable by the Data Issuer, and which can optionally be attached to an Access Grant (to themselves and/or third parties). In the case of an Access Grant, which may contain a Hash or Signature to the clear-text content of the Credential, Data Consumers may request it from Users using the SDK by asking the Data Owners for a wallet signature and querying an idOS Node Operator. The actual information stored on the User profile subject to the Access Grant is decrypted by the User, re-encrypted using the Data Consumer's public key, and then re-uploaded to the idOS Network, as every User profile in the idOS Network is linked to a public-private key pair, which is used to encrypt and decrypt data. Both Write Grants and Access Grants may be granted in a delegated version, allowing an authorized recipient to grant limited and controlled access or write permissions to third parties on behalf of the User. In the context of Passporting (“Passporting”), a Data Consumer does not insert the Access Grant directly into the idOS Network but forwards it to the respective Data Issuer, who verifies that the Hash/Signature in such Access Grant matches the version of its own credential, and only then inserts the Access Grant into the idOS Network.
Whenever you connect your wallet to the idOS Network, you instruct us, and any applicable Node Operators, to check if an idOS profile associated with such a wallet address already exists. When you (or others, on your behalf) create a profile within the idOS Network, you instruct us, and any applicable Node Operators, to create or execute the creation of the idOS profile for you. When you add/remove a wallet address to your idOS profile, you instruct us, and any applicable Node Operators, to add/remove such a wallet address to your idOS profile. When you view your information, including information you have been given permission to write or access within the idOS Network, you instruct us, and any applicable Node Operators, to relay such information to you. When you give or are given a Write Grant, you instruct us, and any applicable Node Operators, to execute such a Write Grant within the idOS Network, and the same applies to delegated Write Grants. When you edit and/or add information (or authorize others to edit and/or add information on your behalf) to your idOS profile, you also instruct us, and any applicable Node Operators, to execute the update/upload of such information into the idOS Network for you. When you give or are given an Access Grant, you instruct us, and any applicable Node Operators, to execute such Access Grant within the idOS Network, and the same applies to delegated Access Grants. When you delete information from your idOS profile, you instruct us, and any applicable Node Operators, to execute such operation within the idOS Network.
Additionally, when interacting with the idOS Network (for example, when giving an Access Grant), a record may be created in the smart contract in a respective blockchain that the idOS Network monitors, and when an interaction is executed, you instruct us, and any applicable Node Operators, that your corresponding wallet address and other applicable information are recorded in such smart contracts in the relevant blockchain. When you revoke an Access Grant or an Access Grant you have been granted is revoked (either without a Time-lock or with an expired Time-lock), you instruct us, and any applicable Node Operators, to execute the revocation within the idOS Network. When a Credential issued in your idOS profile or that you issued in someone else’s profile is revoked, for whatever reason, at the relevant Data Issuer’s own discretion, you hereby instruct us to, and any applicable Node Operators, execute such an operation. You understand and agree that once revoked, a Credential cannot be reinstated, and we are not responsible or liable for any such revocations or any consequences that may arise out of such revocations, regardless of the reason for revocation.
The transaction itself (and its corresponding metadata, for example, wallet addresses, system-generated IDs, logs, public notes, etc) of any operation that take place within the idOS Network may be publicly accessible, allowing, for example, stakeholders to verify who has been permitted to access or write specific data, without exposing the corresponding user-encrypted information. For the avoidance of doubt, for any operations that takes place within the idOS Network requested, initiated, or authorized by you, including the issuance of unencrypted information into the idOS Network in contradiction of these Terms, you hereby instruct us, and any applicable Node Operators, to execute such operation, process any data needed to execute such operation and, if applicable, make the transaction, corresponding metadata and unencrypted information (if applicable) public within the idOS Network, which may be for an indefinite period. As Credentials may contain public notes, whenever a Credential that contains public notes is issued or public notes in a Credential are edited within the idOS Network by a Data Owner or a Data Issuer on behalf of the Data Owner, the Data Owner hereby instructs us, and any applicable Node Operators, to make such public notes available and public within the idOS Network. The Data Owner understands and agrees that they shall not issue or authorize the issuance of Credentials with public notes containing personal data into their idOS profiles. You are solely responsible for ensuring that public notes do not contain personal data. The idOS Association disclaims liability for any personal data you make or otherwise authorize to be made public within the idOS Network. You hereby confirm that you understand that, in connection with operations that may take place within the idOS Network, due to their nature and the idOS Network properties, the transactions, certain corresponding metadata, and certain Stored Information may continue to be stored and/or publicly available within the idOS Network even after a request for deletion or erasure (for example, due to the immutable nature of blockchains or due to Credentials having an associated Time-lock), and if that is the case, you hereby instruct us, and any applicable Node Operators, to continue to store and/or make it publicly available within the idOS Network. You also confirm that you understand that the idOS Association has no control over any Stored Information in your idOS profile. Only you, as the Data Owner of the respective Stored Information, can initiate the deletion or erasure of such Stored Information, and you hereby instruct us, and any applicable Node Operators, to keep such Stored Information issued within the idOS Network until you delete or erase it.
Because of the open-source nature of the idOS Network, Data Issuers and Data Consumers may integrate the idOS Network and/or adapt or change User flows and interfaces, integrating the idOS Network at their sole discretion. It is your responsibility to always verify what you are authorizing and who. You hereby confirm and agree that you are aware of such a fact and that we are not liable nor responsible for any such changes or any consequences thereof, which are outside of our control and are part of and governed by your own external relationship with such Data Issuer and/or Data Consumer. All processing of your data by Data Issuers and Data Consumers is outside of your relationship with us and is governed by your own external relationship with such Data Issuers and Data Consumers. You acknowledge and agree that any such processing of your personal data is made under such Data Issuer’s and/or Data Consumer’s responsibility and authority. For example, it is your responsibility to ensure that the Data Issuer and/or Data Consumer has a valid legal basis under applicable data protection laws for the processing of such personal data. This includes, where necessary, obtaining your consent, providing appropriate notices, or relying on another lawful basis under applicable data protection laws. We do not and cannot verify whether the legal basis relied upon by any Data Issuer and/or Data Consumer is valid or sufficient, nor are we responsible or liable for any such failure by a Data Issuer and/or Data Consumer to comply with applicable legal requirements.
App
The App (accessible at app.idos.network) provides an interface for interacting with the idOS Network. It allows Users to have an idOS profile created and manage it, including adding multiple wallet addresses, enabling the idOS FaceSign (further explained below), adding and managing issued Credentials (including Proof of Personhood Credentials), configuring idOS keys, and managing Write Grants and Access Grants, as well as any other content, program, functionality, and services available or accessible through the App from time to time, including third-party integrations. When you interact with the idOS Network through the App, and for any operations initiated or otherwise authorized by you within the App, you hereby instruct us, and any applicable Node Operators, to execute such operation. For the avoidance of doubt, all operations that you initiate or authorize within the App are executed upon your instruction, and may result in the processing and publication of the corresponding data, including personal data, within the idOS Network. In particular, the App is not available to residents, citizens, or persons located in the Afghanistan, Algeria, Angola, Bolivia, Bulgaria, Burkina Faso, Cameroon, Côte d’Ivoire (Ivory Coast), Democratic People’s Republic of Korea (North Korea), Democratic Republic of the Congo, Haiti, Iran, Kenya, Lao People’s Democratic Republic (Laos), Lebanon, Mali, Monaco, Mozambique, Myanmar, Namibia, Nepal, South Sudan, Syria, Tanzania, Trinidad and Tobago, Vanuatu, Venezuela, Virgin Islands (UK), and Yemen. For the avoidance of doubt, these are the Restricted Jurisdictions (“Restricted Jurisdictions”) for the App. Certain features of the App may be subject to additional eligibility, geoblocking, and/or separate terms.
Points
The App may display a points program (“Points”). Points are designed as a loyalty and reputation mechanism to encourage interaction with the App and reuse of Credentials. Points have no monetary/cash value, cannot be traded, transferred, or exchanged, in any form, and do not confer any rights to receive any asset, cash, tokens (including without limitation IDOS Tokens), goods, or services. Points are not stored on-chain or in wallets, and they are not redeemable in any way. Points are purely symbolic, for social reputation and loyalty purposes only, consisting only of a visual representation of how much you interact with idOS. Points may be used internally by idOS Association to measure interaction with idOS but do not entitle you to any reward or consideration. Points are not a financial instrument, not a game of chance, contest, or lottery. Points are intended for personal use only. Commercial use is prohibited. You may earn Points by performing specific actions, such as creating an idOS profile, adding new wallet addresses to your idOS profile, reusing your Credentials, and other activities that may be described by us from time to time. A description of such actions and the associated Points may be displayed in the App interface. We reserve the right to modify, suspend, or discontinue the Points program at any time at our sole discretion with or without any notice to you. You are solely responsible for ensuring that your participation in the Points program complies with applicable laws in your jurisdiction. You may not participate in the Points program if such participation is prohibited in your jurisdiction of nationality or residence. The list of Restricted Jurisdictions for the App also applies to the Points program. We reserve the right to impose additional restrictions and eligibility checks at our discretion. You must not rely on any statement, leaderboard position, or number of Points displayed as a representation that you will receive any Tokens. Any Airdrops made in connection with the Points, if any, will be determined solely by us, in our absolute discretion, and may take into account multiple factors beyond Points. By participating in the Points program, you acknowledge that Points are an experimental metric, and we disclaim all responsibility for their functioning, accuracy, or continued availability. We may suspend the Points program at our sole discretion without any notice to you.
idOS FaceSign
This feature, made available within the App, integrates software provided by third-parties, combined with secure infrastructure operated by idOS Association, to allow Users to create a unique identity and associated cryptographic wallet. The idOS FaceSign may be used for account recovery, proof of personhood, login, or second-factor authentication, as well as for creating an idOS Face Wallet (“idOS Face Wallet”, as further explained below), and other use cases made available to Users from time to time. The idOS FaceSign operates as follows: the respective third-party SDK displays a widget on the User’s device that prompts the User to record their face and perform a liveness check. The capture takes place on the User’s device. The captured image/video is encrypted and transmitted to a secure processing environment that transforms the image into a mathematical vector used for uniqueness verification. Encryption keys used in this process are generated and stored bound to the enclave and the code version. Keys are not accessible to us. The enclave operates with code integrity protections (attestation) and tamper-evident logs and we have no access to the content of such enclave. Users hereby instruct us, and any applicable Node Operators, to make such logs publicly available for transparency and verifiability. Upon successful liveness verification, a unique identifier is generated, and a cryptographic wallet may be created that may serve as an idOS Face Wallet for authentication, oAuth, or participation or interaction with programs, features, activities and operations made available to Users from time to time. Such wallets may be used to sign blockchain transactions if enabled. idOS Association and third-parties do not receive or process facial images, Users’ raw biometric images, or vectors. All processing of facial images and conversion to vectors occurs within the secure enclave, to which we have no access to. idOS and the respective third-party provider do not retain or process biometric data. For any data that may need to be processed in connection with your interactions with idOS FaceSign, which may include personal data (such as system generated IDs, wallet metadata and audit logs), you hereby instruct us, and any applicable Node Operators, to process such data. You must not misuse the FaceSign to impersonate others or provide fraudulent data.
The idOS Face Wallet is a self-custodial crypto wallet integrated with idOS FaceSign biometric authentication. It allows you to generate and use a wallet address protected by your biometric credentials. You alone control your private keys, idOS Face Wallet, and digital assets, and we do not hold, back up, or otherwise have access to these keys, assets or the idOS Face Wallet (we provide an enclave where you can lock your private keys, without us being able to access such keys or the content of the enclave). We do not have custody of your digital assets, nor backup. You are solely responsible for protecting your biometric credentials, device access, secure enclave, private keys, recovery mechanisms, and wallet backups. You must implement appropriate security practices, such as creating backups of your recovery or access credentials and safeguarding them from unauthorized access. We are not responsible for any loss, theft, or unauthorized access to your private keys or idOS Face Wallet. The idOS Face Wallet does not hold, manage, or issue funds. All actions are initiated and controlled by you, and we provide no guarantees regarding transaction outcomes or asset balance values. If access to your idOS Face Wallet is lost (e.g. due to device loss, biometric failure, or forgotten credentials), we cannot recover or restore access. There is no fallback or recovery service provided. All transactions signed and submitted via your idOS Face Wallet are final, irreversible, and published on-chain. Once initiated, they cannot be undone, reversed, or canceled by us or any other party. The Face Wallet is provided “as‑is,” without any express or implied warranty regarding performance, security, merchantability, or fitness for any particular purpose. We do not monitor, flag, or prevent malicious transactions or phishing attempts. You alone are responsible for validating all addresses, amounts, approval settings, and interacting only with trusted interfaces.
You use the Face Wallet at your own risk. To the maximum extent permissible by applicable law, idOS Association, its affiliates, officers, or agents shall not be liable for any losses (direct, indirect, incidental, consequential, or otherwise) arising from your use or misuse of or reliance on the idOS Face Wallet including - without limitation - losses, hacks, phishing, or your mismanagement of the idOS Face Wallet, assets and private keys. By using the idOS Face Wallet, you represent that your use does not violate applicable laws or expose idOS to liability. You agree to indemnify and hold us harmless from any third-party claims, losses, or damages related to your use or misuse of the idOS Face Wallet, including, without limitation, any unauthorized access or theft. The list of Restricted Jurisdictions for the App also applies to the idOS Face Wallet and idOS Face Sign.
You remain responsible for any applicable tax reporting. We provide no financial, legal, tax, or investment advice. The idOS Face Wallet is a technical tool only, it does not offer recommendations or guarantees and should not be treated as a financial service. The idOS Face Wallet may interact with external third-party service providers and interfaces provided by them. We are not responsible for the operation, reliability, compliance, or privacy policies of third-party service providers. Any interaction is governed by the terms of those service providers, and you access them at your own risk. There is no recovery service provided by us. If you lose access to your idOS Face Wallet, we cannot recover your assets. All transactions executed via your idOS Face Wallet are final and irreversible. Due to the immutable nature of blockchain, idOS cannot reverse or cancel any blockchain transactions you initiate.
Airdrops
From time to time, we may, at our sole discretion, organize one or more programs (each an “Airdrop”) involving the allocation of IDOS tokens (“IDOS Tokens”) or other digital assets (together, the “Tokens”), in accordance with these Terms and any other terms and conditions made available to you within such Airdrops (“Airdrop Terms”). Airdrops may include, without limitation, community incentive programs, early supporter campaigns, or other promotional initiatives determined by us. Each Airdrop may be subject to specific rules, eligibility criteria, and conditions set out by these Terms, any other Airdrop Terms and/or as otherwise communicated by us from time to time. In the event of a conflict between these Terms and any applicable Airdrop Terms, the Airdrop Terms shall prevail solely with respect to the relevant Airdrop.
AIRDROPS ARE DISCRETIONARY EVENTS CONDUCTED SEPARATELY AND MAY TAKE INTO ACCOUNT MULTIPLE FACTORS. BY CHOOSING TO PARTICIPATE IN AN AIRDROP YOU CONFIRM THAT YOU HAVE FULLY READ, UNDERSTOOD, AND ACCEPTED THESE TERMS AND ANY OTHER AIRDROP TERMS, IF APPLICABLE. PARTICIPATING IN AN AIRDROP CARRIES SIGNIFICANT RISKS, INCLUDING THE POTENTIAL LOSS OF ALL YOUR DIGITAL ASSETS. YOU MUST NOT RELY ON US WHEN DECIDING WHETHER TO PARTICIPATE. PARTICIPATION IS ENTIRELY VOLUNTARY AND UNDERTAKEN AT YOUR OWN RISK. IT IS SOLELY YOUR RESPONSIBILITY TO MAKE AN INFORMED DECISION REGARDING YOUR INVOLVEMENT IN ANY AIRDROP AND ANY RECEIPT OF TOKENS. BEFORE PROCEEDING, YOU SHOULD INDEPENDENTLY SEEK ANY LEGAL, TAX, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. FULFILLING THE ELIGIBILITY CRITERIA AND/OR PARTICIPATING IN AN AIRDROP DOES NOT GUARANTEE THAT YOU WILL RECEIVE ANY TOKENS AND DOES NOT GRANT YOU ANY RIGHT, ENTITLEMENT, OR CLAIM TO RECEIVE TOKENS. WE RESERVE FULL DISCRETION OVER WHETHER THE AIRDROP PROCEEDS, THE APPLICABLE ELIGIBILITY CRITERIA, THE AMOUNT OF TOKENS (IF ANY) TO BE DISTRIBUTED, AND THE TIMELINE.
We may modify, suspend, or cancel the Airdrop at any time without prior notice. These Terms do not govern the use of the Tokens in the idOS ecosystem. Any potential future use of Tokens in connection with the idOS ecosystem may be governed by other applicable documents, terms, and conditions. In our sole discretion, we will evaluate your eligibility for participation in the Airdrop, as determined solely by us in our absolute discretion. We reserve the right to exclude or disqualify any participant from an Airdrop at any time and for any reason, including but not limited to suspected abuse, fraud, violation of these Terms or the applicable Airdrop Terms, or participation from restricted jurisdictions. Your continued participation constitutes acceptance of any updated terms. You may also be provided with information about the Airdrops on our website, social media, or direct communications that you receive from us. In case of a discrepancy between the information contained therein and the information in these Terms, the information in these Terms shall prevail.
You must ensure that the information you provide to us remains accurate and up to date at all times. You must promptly notify us of any changes or corrections. We will not be liable for any failure to notify you of, or allocate Tokens, arising from inaccurate, incomplete, or outdated information supplied by you. Tokens received by each eligible participant may differ, depending on criteria determined by us. No cash alternative or substitution of the Tokens is allowed, except we reserve the right in our sole discretion to substitute Tokens for any equivalent alternative as we may determine at our discretion. We reserve the right to verify your eligibility and to disqualify anyone from an Airdrop at our sole discretion. We may, at our discretion, require eligibility checks, which may differ for each Airdrop, including but not limited to identity verification, high-risk jurisdiction, sanctions and restricted persons screening, and self-certification of jurisdictional status.
Nothing in these Terms, the Airdrops, Airdrop Terms, or any related communications constitutes a prospectus, investment advice, or an offer or solicitation to buy or sell any securities, tokens, or other financial instruments in any jurisdiction. Participation in the Airdrops does not create any fiduciary, advisory, or agency relationship between you and us. We do not provide investment, financial, legal, tax, or any other advice, and any conclusions drawn from statements in this document or related communications or otherwise made by us shall not be deemed to constitute such advice in any jurisdiction. You are solely responsible for evaluating and understanding the risks associated with the Airdrops and any Tokens you may receive, and you assume all risks related to any Tokens you may receive under the Airdrops. For example, there is a risk that we are unable to successfully deploy the idOS ecosystem and create the IDOS Tokens. There is a risk that, while being legal in one jurisdiction, in some other jurisdictions the activities around the Airdrops and/or Tokens may be considered illegal or be regulated by special legislation, or that in the future the Airdrops and/or Tokens may be considered illegal or subject to the regulation of special legislation. Due to risk surrounding the fast ongoing development of regulatory frameworks governing the blockchain industry all around the world, we cannot guarantee that the Airdrops and/or Tokens are deemed legal in all jurisdictions globally. New restrictions on the use or ownership of digital tokens, such as the Tokens, which may impede or restrict the existence, acceptability, or value of such Tokens, may become applicable in the future. You are solely responsible for determining and complying with any tax obligations or legal requirements arising from your participation in the Airdrops, holding, receiving, or transferring any Tokens.
There is a risk that any smart contract used for the allocation of the Tokens contains security gaps, errors, or dysfunctionalities that may adversely affect the allocation and use of the Tokens. You are solely responsible for the secure storage and administration of the private keys of the wallet in which the Tokens are held. Loss of the private keys can lead to irretrievable loss of the Tokens. The Tokens will be based on a certain protocol. Thus, a malfunction, unintended function, or unforeseen operation of such protocol may cause the Tokens to become defective or function unexpectedly or unintentionally. Hackers or other groups or organizations may attempt to interfere with the your wallets, the idOS ecosystem or the Tokens in variety of ways, including but not limited to denial of service attacks, sybil attacks, spoofing, smurfing, malicious attacks or consensus-based attacks, which may result, among other things, in Tokens being stolen or inaccessible without change of recovery. Blockchains are exposed to mining attacks, which may put the smart contract at risk. There is a risk that the Tokens may unintentionally contain flaws or bugs in their source code that affect the use of Tokens or cause the loss of a Token.
You are hereby explicitly informed about the early state of development of the idOS ecosystem and of the risks and uncertainties entailed in the allocation of the IDOS Tokens. The idOS ecosystem has not been fully developed, and the IDOS Tokens have not yet been created. In particular, we make no representations or warranties regarding the Airdrops, any value, utility, or legality of any Tokens distributed through the Airdrops. You shall be aware that there is the risk of project failure at any stage of development of the idOS ecosystem and the creation of the IDOS Tokens, and of risk factors that may have significant adverse effects on the deployment of the idOS ecosystem and the creation of the IDOS Tokens. There is a risk that the development of the idOS ecosystem and/or the creation of the IDOS Tokens may fail or be significantly hampered at any stage. The IDOS Tokens may be released under a vesting schedule as communicated by us now or later in time, at its sole and absolute discretion. We will not necessarily maintain the idOS ecosystem, and we will not be responsible or liable for the idOS ecosystem or any third-party uses of the idOS ecosystem. The IDOS Tokens may be initially created under any technical standard on any protocol. We reserve the right to migrate the IDOS Tokens to any other protocol and to generate replacement IDOS Tokens on the new protocol in the future, or not to issue the IDOS Tokens at all, should we determine, in our sole discretion, that doing so is necessary or useful to the operation of the idOS ecosystem. You acknowledge that the allocation of the IDOS Tokens is also subject to the successful deployment of the idOS ecosystem and creation of the IDOS Tokens. In case the idOS ecosystem is not successfully deployed and, hence, the IDOS Tokens cannot be allocated, you are not entitled to any replacement or compensation.
Blockchain technology, cryptographic tokens like the Tokens, represent a novel and largely untested technology. In addition to the risks already mentioned, your participation in the Airdrops and any receipt, claim, holding, or use of the Tokens may expose you to further risks, including ones we cannot reasonably foresee. These risks may arise in unexpected ways or as combinations of the risks described in these Terms and/or the Airdrop Terms. You acknowledge and accept that such unforeseen risks may result in adverse consequences, including the complete loss of Tokens or their functionality, resulting, among other things, in the loss of your digital assets.
You shall comply with all applicable laws regarding the allocation or transfer of the Tokens. You shall not violate any applicable laws of your jurisdiction or the laws of any proposed transferee’s jurisdiction in connection with any offer, sale, pledge, or transfer of the Tokens. You warrant and represent that you have satisfied and are in full observance of the laws of your jurisdiction in connection with the allocation and use of the Tokens. You conferred with your legal and tax advisors to understand any and all eligibility requirements and transfer limitations of the Tokens under applicable laws. You bear the costs and expenses of complying with any laws applicable to it or its actions.
The IDOS Tokens do not constitute securities of any form, units in a business trust, units in a collective investment scheme, or any other form of investment in any jurisdiction, or e-money. The Tokens do not represent a debt or equity interest in us, and an allocation of Tokens is not akin to making an investment in or with us. You understand and agree that your participation is not subject to any form of interests or guarantee any form of returns or (full or partial) redemption. You acknowledge and agree that fulfilling the applicable eligibility criteria of an Airdrop does not give you a right or claim to receive any Tokens. In addition, you understand and agree that IDOS Tokens have no physical underlying and that no digital representation will be allocated to you. You acknowledge and agree that the Tokens do not represent or constitute any ownership right or stake, debt instrument, share, or security or equivalent right in or relating to us, the idOS ecosystem, the idOS Association, and/or any software or intellectual property rights thereto. The Airdrops are provided solely for the purpose of your participation in the idOS ecosystem and supporting the development, testing, deployment, and operation of the idOS ecosystem, and your participation is not for any other purposes, including, but not limited to, any investment, speculative, or financial purpose.
You acknowledge and agree that your participation in the Airdrops and any receipt or use of Tokens is at your sole risk. All aspects of the Airdrops and Tokens are provided to you on an “as is”, “as available”, “under development”, and “with all faults” basis, without any guarantees as to their performance, availability, reliability, or fitness for any particular purpose. To the fullest extent permitted by applicable law, we make no representations or warranties of any kind, express or implied, regarding the Airdrops, the Tokens, the Airdrops webpages, or any part of the idOS ecosystem including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free use, and those arising from course of dealing or trade usage. You understand and accept that the Tokens and the underlying technology are experimental, and that we provide no assurance of their functionality, stability, or future value. To the fullest extent permitted by law, we and our affiliates, directors, officers, employees, and agents shall not be liable for any damages including direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Airdrops or the allocation or use of any Tokens. In connection with your participation in certain airdrops that the idOS Association may conduct from time to time, we may be required to process your information, such as social media related information (for example, social media handles), your wallet address and other information as may be required for each Airdrop, for example, to verify your eligibility, and by participating in any such Airdrop, you hereby instruct us to conduct such a processing. Third-Party Campaigns
From time to time, the idOS Association may cooperate with third-party providers in connection with community engagement campaigns, such as the SNAPs Campaign (“SNAPs Campaign”). The SNAPs Campaign allows users to earn SNAPs (“SNAPs”, social engagement points) through activities on third-party platforms measured and administered by such third-party providers. SNAPs are not issued by us, do not constitute Tokens, and confer no rights or entitlements to Tokens or any other assets, goods, cash, or services. SNAPs are a social engagement metric only, controlled and operated by third parties, and we have no control over how SNAPs are calculated, displayed, or awarded. SNAPs are not Tokens, do not represent Tokens, and are not convertible into Tokens. Holding or earning SNAPs does not entitle you to receive Tokens or any other form of compensation, financial or otherwise. Any Token allocations made by us, including any discretionary community incentive allocations, are conducted entirely at our discretion and in accordance with these Terms and any applicable Airdrop Terms. SNAPs are not a claim, promise, guarantee, or right to receive Tokens. SNAPs have no monetary value, cannot be traded, transferred, or exchanged, in any form and are not redeemable in any way. SNAPs may be used internally by us to measure interaction with idOS but do not entitle you to any reward or consideration. SNAPs are not a financial instrument, not a game of chance, contest, or lottery.
SNAPs are operated and distributed by third-party providers. We are not responsible for your engagement with the third-party providers. In particular, we are not responsible for the availability, operation, accuracy, or security of the SNAPs platform or any related services, including how SNAPs are measured or displayed, and we are also not responsible for any data you provide to such third-parties providers. Participation in the SNAPs Campaign may be subject to the separate terms and privacy policies of the relevant third-party provider, which we do not control. Participation in the SNAPs Campaign is subject to the same restrictions that apply to Airdrops under these Terms. In particular, the SNAPs Campaign are not available to residents, citizens, or persons located in the Afghanistan, Algeria, Angola, Barbados, Bolivia, Bulgaria, Burkina Faso, Cameroon, China (People’s Republic of China), Côte d’Ivoire (Ivory Coast), Democratic People’s Republic of Korea (North Korea), Democratic Republic of the Congo, Gibraltar, Haiti, Iran, Jamaica, Kenya, Lao People’s Democratic Republic (Laos), Lebanon, Mali, Monaco, Mozambique, Myanmar, Namibia, Nepal, Nigeria, Panama, Philippines, Senegal, South Africa, South Sudan, Syria, Tanzania, Trinidad and Tobago, Uganda, United Arab Emirates, United States of America, Vanuatu, Venezuela, Vietnam, Virgin Islands (UK), and Yemen. For the avoidance of doubt, these are the Restricted Jurisdictions for the SNAPs Campaign. You must not rely on any statement, leaderboard position, or number of SNAPs displayed as a representation that you will receive Tokens. Any Token allocations, if any, will be determined solely by us, in our absolute discretion, and may take into account multiple factors beyond SNAPs, and we reserve the right to impose additional restrictions, eligibility checks, and sanctions screening at our discretion. By participating in the SNAPs Campaign, you acknowledge that SNAPs are an experimental, third-party metric, and we disclaim all responsibility for their functioning, accuracy, or continued availability. You remain solely responsible for ensuring that your participation in the SNAPs Campaign complies with applicable laws in your jurisdiction.
By using or registering for idOS, you represent and agree that:
You may be required to provide certain information as part of the registration process of idOS or as part of your continued use of idOS. Any information you give must always be accurate and up to date, and you will inform us promptly of any updates. The information you provide must not misrepresent you or be intentionally inaccurate. By registering or creating an idOS profile, you agree that you are fully responsible for all activities that occur under your profile.
You acknowledge that only you have control over whom you grant (i) access to the Stored Information issued in your idOS profile and (ii) permission to issue in your idOS profile. You shall maintain the security of your idOS profile, including by not using the same password within idOS that you use for other services or products, not disclosing your password or keys to any third party, and immediately notifying us if you suspect or discover any unauthorized activities in connection with idOS or your idOS profile. You acknowledge and agree that if you lose your keys or password, you may not be able to recover the Stored Information in your idOS profile. Neither idOS nor Node Operators nor our providers have access to or custody over your private keys and cannot initiate any operations or transactions within your idOS profile or wallet or otherwise access encrypted Stored Information in your idOS profile or any of your funds.
In case you become aware of any unauthorized use of or access to your idOS profile, you shall notify us. You shall be liable for damages, losses, liability, expenses, and attorneys’ fees incurred by a third party or us as a result of someone else using your idOS profile. You confirm you understand and agree that we may require you to provide information that may be used to confirm your identity and profile ownership and help ensure the security of your idOS profile. We shall not be liable for any damages, loss, liability, expenses, or attorneys’ fees that you may incur as a result of someone else using your idOS profile, password, or keys, with or without your knowledge and/or authorization, and regardless of whether you have or have not warned us of the unauthorized use.
We may change, limit, or discontinue the idOS, any portions, or features of it with or without notice. This includes for maintenance purposes. We are also entitled to prevent or restrict your use of the idOS at any time in our sole discretion for any or no reason. We have no obligation to maintain the uptime of idOS. We are not liable in case all or any part of idOS is unavailable for whatever reason, at any time, or for any period.
We may, at our discretion, to the extent we are able to do so: (i) take actions regarding any Stored Information in your idOS profile that we believe are necessary or appropriate, including when such Stored Information appears to breach these Terms, violates standards, infringes on intellectual or other legal rights, poses a safety risk to Users or the public, or might create liability for us or our providers; (iii) pursue legal remedies, including involving law enforcement, in response to actual or suspected unlawful or unauthorized use of idOS; (iv) suspend or revoke your access to all or part of idOS, with or without cause, including for violations of these Terms. We may also fully comply with legal or regulatory requests, including court orders, requiring the disclosure of data of Users, Data Owners, and Data Consumers. You agree to release us, our licensors, and providers from any claims that may result from actions taken during or as a result of investigations by us or law enforcement. That said, we are not obligated to monitor any Stored Information issued in idOS, and we cannot and do not guarantee the removal of offensive or unlawful material after it is issued into idOS. We accept no responsibility for any Stored Information issued, shared, removed, or left untouched. We also assume no liability for performing or failing to perform the actions described in this section.
When using the idOS, you may not (or allow those acting on your behalf to), regardless if through a Data Issuer and/or Data Consumer:
By using or registering for idOS, regardless of whether through interactions with a Data Issuer and/or Data Consumer, you further represent and agree that:
Unless prohibited by applicable law, you will defend and indemnify us, and our affiliates, directors, officers, employees, and Users, against all liabilities, damages, losses, costs, fees (including legal fees), and expenses, including all damages we may incur relating to any allegation or third-party legal proceeding to the extent it arises from your misuse of the idOS or your violation of these Terms.
EXCEPT AS EXPRESSLY SET OUT IN THE TERMS, WE DO NOT MAKE ANY SPECIFIC PROMISES ABOUT THE idOS OR ANY OF ITS COMPONENTS OR ANY STORED INFORMATION. FOR EXAMPLE, WE DO NOT MAKE ANY COMMITMENTS ABOUT THE SPECIFIC FUNCTIONS OF THE idOS, OR THE idOS’ OR THE STORED INFORMATION’S RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE ALSO DO NOT REPRESENT OR WARRANT THAT THE idOS OR THE STORED INFORMATION ARE COMPLETELY ACCURATE, COMPLETE, RELIABLE, CURRENT, OR VIRUS-FREE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS AS WELL AS MALICIOUS CODE, OR THAT ANY DEFECTS WILL BE FIXED. WE PROVIDE THE idOS "AS IS". YOU ALSO ACKNOWLEDGE THAT, BECAUSE OF THE NATURE OF THE INTERNET, MOBILE NETWORKS, AND THE DEVICES WHICH ACCESS THE INTERNET AND/OR MOBILE NETWORKS, THE idOS MAY NOT BE ACCESSIBLE WHEN NEEDED, AND THAT INFORMATION, DATA, AUDIO, AND VIDEO TRANSMITTED OVER THE INTERNET AND/OR MOBILE NETWORKS MAY BE SUBJECT TO INTERRUPTION OR THIRD PARTY INTERCEPTION AND MODIFICATION THAT IS OUTSIDE OUR CONTROL. ADDITIONALLY, WE CANNOT WARRANT OR REPRESENT THAT YOUR USE OF THE INTERNET OR idOS IS SAFE, AND YOU SHOULD USE REASONABLE SAFETY MEASURES TO PROTECT YOURSELF FROM ANY HARMFUL COMPONENTS. YOU EXPRESSLY AGREE THAT YOUR USE OF THE idOS OR THE STORED INFORMATION AND YOUR RELIANCE UPON ANY OF THE CONTENT IS AT YOUR SOLE RISK. WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, ESPECIALLY AS TO THE RETRIEVABILITY, STORAGE, MAINTENANCE, OR CONDITION OF STORED INFORMATION. WE MAKE NO GUARANTEES THAT ANY STORED INFORMATION WILL BE RETRIEVABLE OR AVAILABLE. WE DO NOT SPONSOR, CONTROL, ENDORSE, OR ADOPT ANY STORED INFORMATION AND HAVE NO OBLIGATION TO EDIT, SCREEN, OR MONITOR STORED INFORMATION, AND ARE NOT LIABLE OR RESPONSIBLE FOR ANY STORED INFORMATION. YOU UNDERSTAND AND CONFIRM THAT YOU AGREE THAT WE HAVE NO SUPPORT, INDEMNITY, OR OTHER OBLIGATIONS WITHIN THIS AGREEMENT. WE EXCLUDE OUR RESPONSIBILITY FOR ANY DAMAGE OR LOSS OF STORED INFORMATION. YOU ARE RESPONSIBLE FOR ENSURING THE ENCRYPTION OF AND MAINTAINING BACKUP COPIES OF ALL STORED INFORMATION IN YOUR idOS PROFILE AT ALL TIMES, AND WE ARE NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE TO STORED INFORMATION ISSUED IN YOUR PROFILE. WE DO NOT GUARANTEE OR CLAIM THAT idOS IS APPROPRIATE FOR STORING CERTAIN KINDS OF DATA OR FOR ANY SPECIFIC USE, NOR THAT STORING PERSONAL OR SENSITIVE INFORMATION ON idOS COMPLIES WITH ANY LEGAL OR REGULATORY STANDARDS. WE DISCLAIM RESPONSIBILITY FOR ACTIONS YOU TAKE WHILE USING THE SERVICES OR ANY BLOCKCHAIN TECHNOLOGY, AND BY PROCEEDING, YOU ACKNOWLEDGE AND CONFIRM YOU UNDERSTAND THE RISKS TIED TO INTERACTING WITH DECENTRALIZED PROTOCOLS ON ANY BLOCKCHAINS.
SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EXCEPT AS EXPRESSLY PROVIDED FOR IN THESE TERMS, TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES, GUARANTEES, CONDITIONS, REPRESENTATIONS, AND UNDERTAKINGS.
You acknowledge and agree that due to the immutable nature of the blockchains and idOS’ architecture, we may not be able to remove Stored Information and other types of information issued or accessible through idOS. We make no claims that idOS or any Stored Information is accessible or appropriate in any jurisdiction.
UNLESS PREVENTED BY LAW, WE WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA; FINANCIAL LOSSES; OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, AND ANY LIABILITY SHALL BE LIMITED TO INJURY TO BODY, LIFE, OR HEALTH. WE ARE NOT RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD PARTIES AND ARE NOT LIABLE FOR THE ILLEGAL OR OFFENSIVE BEHAVIOR OR CONDUCT OF ANY THIRD PARTY. IN ALL CASES, WE WILL NOT BE LIABLE FOR ANY EXPENSE, LOSS, OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE, IRRESPECTIVE OF THE LEGAL BASIS. WE ARE NOT LIABLE IN CASE ANY UNENCRYPTED PERSONAL DATA IS UPLOADED INTO idOS AND FOR ANY CONSEQUENCES THEREOF. WE ARE ALSO NOT LIABLE IF DATA ISSUERS AND/OR DATA CONSUMERS DO NOT COMPLY WITH APPLICABLE LAWS, INCLUDING DATA PROTECTION LAWS, WHEN INTERACTING WITH YOU THROUGH idOS, INCLUDING, BUT NOT LIMITED TO, WHEN REQUESTING A WRITE OR ACCESS GRANT, OR FOR ANY MISUSE OR ALTERATION OF THE SDK. WHERE LIABILITY IS BASED ON FAULT, OUR LIABILITY FOR DAMAGES CAUSED BY INTENTIONAL ACTS AND GROSS NEGLIGENCE SHALL BE UNLIMITED. IN ALL OTHER CASES, OUR LIABILITY IS EXCLUDED. ANY CLAIM OR LEGAL ACTION YOU MAY BRING RELATED TO THESE TERMS, idOS, OR STORED INFORMATION MUST BE INITIATED WITHIN ONE YEAR FROM WHEN THE ISSUE ARISES, AND AFTER THAT PERIOD, THE CLAIM WILL BE PERMANENTLY BARRED.
You may terminate this Agreement at any time without notice and without stating reasons by contacting us in writing or simply by stopping your use of the idOS. We reserve the right to terminate the Agreement with you at any time and for any reason. We also reserve the right to discontinue the idOS or any portion or feature or your access thereto for any reason and at any time without liability or other obligation to you.
If you or we terminate this agreement, we may block your access to idOS and your profile at the effective date of termination. After which, it will no longer be possible to use the idOS without agreeing to these terms.
Please refer to idOS’s Privacy Policy for information about how it collects, uses, and discloses information about you. By accepting these Terms, you confirm you have read and acknowledged the terms described in our Privacy Policy and Transparency Document.
Our sub-processor list is available upon request. You hereby instruct us to transfer your personal data to such sub-processors, as without it, we would not be able to provide you with idOS. You are aware of such processing and explicitly instruct us to do so. Privacy policies of third parties may apply when you interact with third parties, including Data Issuers and Data Consumers, through idOS, and, if that is the case, it is your responsibility to carefully review, understand, and adhere to such policies.
In connection with the right of erasure, a deletion button may be provided in the App for each Credential issued within the idOS Network, allowing you to request the deletion of such Credential from the idOS Network (regardless of idOS having access to such Credential or not) as long as no Time-locks are validly existing for that Credential at the time of the request. Access Grants, a feature made available within the idOS Network, may be used as a mean to allow for compliance with the right to data portability either by us or stakeholders interacting with idOS.
These Terms constitute the entire agreement between you and us unless a separate agreement has been formed between you and us. Unless indicated elsewhere, these Terms shall supersede any oral agreements, and all supplements and modifications must be made in writing. Where this agreement conflicts with separate agreements between you and us related to the idOS, these Terms shall be superseded by any conflicting parts of those agreements.
You confirm that you understand that we may transfer the entire Agreement with you, including rights and obligations, in whole or in part, in case we conclude a sale of business, shares or stocks, applications or other assets, transfer or restructuring of our business, that may or may not result in the performance of this Agreement under the same or a new provider, legal form or company name.
You are not granted a license to any software or any intellectual property rights, including without limitation any trademarks, by these Terms. Our products and services are protected by intellectual property laws, they belong to and are the property of us or our licensors (if any), and we retain all ownership rights to them.
We may modify these Terms and any other documents linked or referred to in these Terms (together, “Documents”), or any portion of the Documents. You should look at these documents regularly. We may notify you of modifications to the Documents by posting a notice or otherwise by sending you a communication, if possible, as we may determine, at our sole discretion, on a case-by-case basis. Changes will not apply retroactively and will become effective after a reasonable time, as stated by us, after they are posted, or as soon as the applicable law allows. If you do not agree with the modifications to the Documents and/or to the functionalities of idOS, you should terminate these Terms. Your continued use of idOS constitutes your acceptance of the modification to the Documents and/or to the functionalities of idOS. You instruct us, whenever the Documents are modified, to post them online or to send you via any available communication means, as we may determine in our sole discretion, and confirm that you will be responsible for reviewing the Documents link or the communication and in case of non-agreement, you will send a reply informing us of the same.
You and idOS each agree to contract in the English language. If we provide a translation of these Terms, we do so for your convenience only, and the English language terms will solely govern our relationship. These Terms do not create any third-party beneficiary rights or any agency, partnership, or joint venture. Nothing in these Terms will limit either your or our ability to seek injunctive relief. You are not entitled to set off unless your claims are legally established. If you do not comply with these Terms, and we do not take action right away, this does not mean that we are giving up any rights that we may have (such as taking action in the future). If a particular term is not enforceable under law, this will not affect any other terms.
These Terms shall be construed in accordance with Swiss law, excluding the Swiss conflict of law rules. The application of the United Nations Convention for Contracts for the International Sales of Goods is hereby expressly excluded. The Swiss laws will apply to any disputes arising out of or related to these Terms or idOS, and ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE idOS WILL BE LITIGATED EXCLUSIVELY IN THE COURTS OF ZUG, SWITZERLAND, AND YOU AND US CONSENT TO PERSONAL JURISDICTION IN THOSE COURTS. To the fullest extent permitted by Law, you agree that any dispute arising out of or in connection with this Agreement will be conducted only on an individual basis and not in a class, consolidated or representative action.
